Welcome to BioSens8. These Terms of Use (“Terms”) govern your access to and use of the BioSens8 website, including any content, features, services, pre-order opportunities, and other functionality made available through the website (collectively, the “Site”).
The Site is operated by BioSens8, Inc. (“BioSens8,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site.
About BioSens8
BioSens8 develops wearable biosensing technologies designed to provide insights into biomarkers and human physiology. Information presented on the Site may describe products, technologies, features, research, or services that are currently in development and are not yet commercially available.
Descriptions of anticipated products, capabilities, timelines, specifications, or applications are provided for informational purposes and may change as our technology and business evolve.

The Site and its content are provided for general informational and educational purposes only.

Investigational and Future Products

Nothing on the Site constitutes a guarantee that a particular product, feature, biomarker, functionality, regulatory authorization, or commercial launch will become available.
Founding Member and Pre-Order Programs
BioSens8 may offer opportunities to become a “Founding Member,” to participate in an early-access program.
Unless expressly stated otherwise at the time of purchase, participation in these programs does not guarantee a particular product delivery date, feature set, regulatory status, or commercial launch date. Products under development may experience delays, modifications, or cancellation.
Any pricing, deposits, payment terms, refund rights, benefits, or additional conditions applicable to a Founding Member or pre-order program will be disclosed at or before the time of purchase and are incorporated into these Terms by reference.
If there is a conflict between these Terms and specific terms presented during a purchase or pre-order, the specific purchase terms will control with respect to that transaction.
Health and Biomarker Information
BioSens8 technologies may generate, display, interpret, or help users understand information relating to biomarkers, physiology, wellness, activity, sleep, stress, recovery, or other health-related signals.
Any examples of biomarker readings, recommendations, insights, or actions displayed on the Site are illustrative unless otherwise stated.
Individual physiology varies, and biomarker measurements should be interpreted in context. No particular health, wellness, athletic, or clinical outcome is guaranteed through the use of BioSens8 products or services.
Intellectual Property
The Site and its contents—including text, graphics, logos, designs, images, videos, software, product concepts, interfaces, trademarks, technology descriptions, and other materials—are owned by or licensed to BioSens8 and are protected by intellectual property and other applicable laws.
You may access and use the Site for your personal, non-commercial use. You may not copy, reproduce, modify, distribute, publish, sell, license, reverse engineer, create derivative works from, or commercially exploit Site content without our prior written permission, except as permitted by applicable law.
Nothing in these Terms grants you any right or license to any BioSens8 patent, patent application, trademark, trade secret, technology, or other intellectual property.
Acceptable Use
You agree not to misuse the Site or interfere with its operation. This includes attempting to gain unauthorized access to the Site or its systems, introducing malicious software, scraping or systematically extracting Site content without authorization, impersonating another person, using the Site for unlawful purposes, or attempting to circumvent security or access controls.
We may restrict or terminate access to the Site if we reasonably believe these Terms have been violated.
User Submissions and Communications
If you submit information to BioSens8 through the Site, including through contact forms, applications, surveys, feedback forms, or other interactive features, you represent that the information you provide is accurate and that you have the right to provide it.
Please do not submit confidential, proprietary, or sensitive information through general website forms unless specifically requested by BioSens8.
If you voluntarily provide ideas, suggestions, or feedback regarding BioSens8 products or services, we may use that feedback without restriction or compensation to you, unless otherwise agreed in writing.
Personal information submitted through the Site will be handled in accordance with our Privacy Policy.
Third-Party Services and Links
The Site may contain links to or integrations with third-party websites, platforms, products, or services. BioSens8 does not control and is not responsible for the content, privacy practices, availability, security, or operation of third-party services.

BIOSENS8 DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Site will operate without interruption, errors, security vulnerabilities, or harmful components.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOSENS8 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOSENS8’S TOTAL LIABILITY ARISING FROM OR RELATING TO YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BIOSENS8 IN CONNECTION WITH THE SITE DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
These limitations apply only to the extent permitted by applicable law.
Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless BioSens8 and its officers, directors, employees, affiliates, and agents from claims, liabilities, damages, losses, and expenses arising from your violation of these Terms, misuse of the Site, or violation of another person’s rights.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.
Any dispute arising from or relating to these Terms or the Site will be subject to the jurisdiction of the state and federal courts having appropriate jurisdiction, except where applicable consumer law provides otherwise.
Changes to These Terms
We may update these Terms periodically to reflect changes to our Site, products, business practices, or legal requirements.
When we make changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Site following an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.
